9. Indemnification

  • Infringement of third-party rights
10. Force Majeure

Service interruptions due to such events shall not constitute breach of these Terms.

11. Dispute Resolution and Arbitration
A. Good Faith Resolution

In the event of any dispute, parties agree to attempt resolution through good faith discussions for at least 30 days before initiating formal proceedings.

B. Binding Arbitration

If the dispute is not resolved amicably, it shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended.

  • Language: English
  • Number of arbitrators: One (1)
  • Appointment: Sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996.

The arbitral award shall be final and binding.

C. Jurisdiction

Subject to the arbitration clause above, courts located in India shall have exclusive jurisdiction.

12. Changes to These Terms

We may update these Terms periodically.

Changes will:

  • Be effective upon publication
  • Include an updated “Last Updated” date

Continued use of the Website constitutes acceptance of revised Terms.

Previous versions are available upon reasonable request.

13. Severability

If any provision of these Terms is found invalid or unenforceable, remaining provisions shall remain in full force and effect.

14. Waiver

Failure to enforce any provision shall not constitute a waiver of that provision or any other rights.

15. Assignment

We may assign or transfer our rights and obligations under these Terms without restriction.

You may not assign your rights without prior written consent.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Continued use of ToolGK after updates constitutes acceptance of the revised terms.
